1. Acceptance of Terms

By accessing or using Contracta HQ ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms at any time; continued use after changes constitutes acceptance.

2. Description of Service

Contracta HQ provides AI-powered contract analysis tools including risk scoring, compliance checking, template generation, clause redlining, AI contract chat, and electronic signature facilitation. The Service is provided "as is" and is intended for informational purposes only.

3. Not Legal Advice

IMPORTANT: Contracta HQ is not a law firm and does not provide legal advice. The analysis, risk scores, compliance checks, and contract templates generated by our AI tools are for informational purposes only and do not constitute legal advice. You should consult a qualified attorney before making legal decisions or signing contracts. We are not responsible for any legal outcomes resulting from your use of the Service.

4. Electronic Signatures

Contracta HQ facilitates electronic signatures between parties. By using the e-signature feature, you acknowledge and agree that: (a) Contracta HQ is not a party to any agreement signed through the Service and makes no representations about the legal enforceability of any specific document; (b) it is your sole responsibility to ensure that the documents you send for signature are legally valid, accurately reflect your intent, and comply with applicable laws; (c) electronic signatures facilitated through the Service are intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA), but we make no warranty that any specific signature will be enforceable in any particular jurisdiction or proceeding; (d) you are responsible for obtaining proper consent from all signing parties and for retaining signed documents; (e) Contracta HQ shall not be liable for any disputes, losses, or legal outcomes arising from documents signed through the Service. The e-signature feature is a convenience tool only — it does not replace legal counsel.

5. Account Registration

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials. You must provide accurate information during registration. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access at support@contractahq.com.

6. Acceptable Use

You agree not to: upload contracts containing illegal content; use the Service to facilitate illegal activity; attempt to reverse engineer, scrape, or copy the Service; resell or redistribute the Service without authorization; upload malware or malicious files; use the Service in a way that could harm other users or Contracta HQ.

7. Your Content

You retain ownership of all contracts and documents you upload. By uploading content, you grant us a limited license to process that content solely to provide the Service. We do not claim ownership of your content. We do not use your contracts to train our AI models. You are responsible for ensuring you have the right to upload and process the documents you submit.

8. Subscription and Billing

Certain features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days notice. No refunds are provided for partial billing periods except where required by law.

9. Beta Service

The Service is currently in beta. Beta features may be modified, removed, or changed without notice. We make no guarantees about the availability, reliability, or accuracy of beta features. By using the beta Service, you acknowledge these limitations and agree that Contracta HQ shall not be liable for any interruptions, errors, or data loss during the beta period.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRACTA HQ, ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, LEGAL OUTCOMES, OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM YOUR USE OF THE SERVICE OR ANY DOCUMENTS PROCESSED OR SIGNED THROUGH IT. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI-GENERATED ANALYSIS WILL BE ACCURATE OR COMPLETE, OR THAT ELECTRONIC SIGNATURES FACILITATED THROUGH THE SERVICE WILL BE ENFORCEABLE IN ANY PARTICULAR JURISDICTION. YOU USE THE SERVICE AT YOUR OWN RISK.

12. Indemnification

You agree to indemnify, defend, and hold harmless Contracta HQ and its operators from any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) documents you upload, send, or sign through the Service; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) any dispute between you and a counterparty to a document signed through the Service.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which the operator of this Service is established, without regard to conflict of law principles. For users located in the United States, any disputes arising from these Terms or the Service shall be resolved through binding individual arbitration under the rules of the American Arbitration Association, and you waive the right to participate in class action proceedings. For users in jurisdictions where mandatory arbitration is not enforceable, disputes shall be resolved in a court of competent jurisdiction. Nothing in this section limits your statutory consumer rights under applicable law.
